Terms of Service

The short version.

Plain-English summary. The full terms are below — they govern in case of conflict, but this is what they actually mean.

Pulse is a monthly subscription. Three tiers per package: Starter $199, Pro $349, Premium $599 per venue per month. 15% off if you pay annually.

You own your data. Your events, your metadata, your dashboards. We're the processor; you're the controller. Cancel and we delete it.

We're Illinois-based. Disputes get resolved in Illinois courts (or by arbitration in Chicago, your choice). Illinois law governs.

1. Who these terms apply to.

These Terms of Service ("Terms") are a contract between you ("you," "your," "Operator") and Advizia LLC ("Advizia," "we," "us," "our"), an Illinois limited liability company. They govern your use of Pulse and any related Advizia service, website, or product.

By signing up for a Pulse account, clicking "I agree," paying an invoice, or using Pulse in any way, you agree to these Terms. If you don't agree, don't use Pulse.

If you're signing up on behalf of a business, you represent that you have the authority to bind that business to these Terms. The business is the Operator. You and the business are both responsible for compliance.

2. What Pulse is.

Pulse is AI-powered software that connects to existing CCTV camera systems at hospitality venues (bars, restaurants, nightclubs, and similar). It detects operational events — pours, drink types, table turns, server visits, headcount, dwell time — and forecasts staffing and demand.

Pulse is software-only. We do not ship, sell, install, or service hardware. You are responsible for the cameras, the network, and the existing video infrastructure at your venue.

We make no representation that Pulse will work with every CCTV system. Before charging you, we run a compatibility check. If your system is incompatible and we cannot find a path forward, we don't take your money.

3. Getting started.

The Free Audit

You can request a free, no-obligation audit at advizia.ai/audit. We analyze footage you provide from a single shift and email you a one-page report within 48 hours of receipt.

The Free Audit is exactly what it sounds like: free. No credit card. No contract. No obligation to buy. Footage you provide for the audit is handled per our Privacy Policy and deleted within 30 days unless you become a paying customer.

Becoming a paying customer

To activate Pulse at one or more venues, you:

  1. Pick a package (Pulse Bar/Club or Pulse Restaurant)

  2. Pick a tier (Starter, Pro, or Premium) for each venue

  3. Provide billing information through our payment processor (Stripe)

  4. Enroll your employees through your operator dashboard

  5. Connect your CCTV system following our deployment workbook

Pulse is activated within 48 hours of payment, subject to compatibility confirmation.

4. Pricing and payment.

Subscription pricing (per venue, per month)

Annual prepay receives a 15% discount on the listed monthly rate.

Volume discounts are available at 3, 5, and 10 venues — contact sales@advizia.ai.

Billing

We bill monthly in advance through Stripe. Annual plans bill in full at signup. Your card on file is charged automatically on each renewal date.

Pricing for your account is locked at the rate you signed up for, for at least 12 months from the day of signup. After that, we may adjust pricing with at least 30 days' written notice.

Failed payments

If we cannot charge your card on a renewal date, we will:

  1. Email you immediately

  2. Retry the charge over the next 7 days

  3. Suspend Pulse access on day 8 if payment remains unpaid

  4. Continue to retain your data for 30 days after suspension before deletion

We are not responsible for service interruptions caused by your payment method failing.

Taxes

Prices are listed exclusive of sales tax, VAT, or other applicable taxes. You are responsible for any taxes imposed on your purchase.

5. The 30-day money-back guarantee.

If Pulse doesn't work for you, we refund you in full.

For 30 days after your first paid invoice — at any venue, on any tier — you can cancel and request a full refund. We require no explanation, no exit interview, and no fine print. Email steph@advizia.ai with the subject "Refund request" and we process within 5 business days.

The guarantee applies to your first paid invoice only. After the 30-day window, refunds are governed by Section 6.

6. Cancellation and termination.

Cancellation by you

You can cancel your Pulse subscription at any time by emailing support@advizia.ai or from your account dashboard.

  • Monthly plans: Cancellation takes effect at the end of your current billing month. We do not pro-rate partial months.

  • Annual plans: Cancellation stops auto-renewal. You retain access through the end of your paid term. Annual plans are non-refundable after the 30-day money-back window unless we materially fail to deliver the service.

Termination by us

We may suspend or terminate your account if you:

  • Fail to pay an invoice after the failed-payment process in Section 4

  • Violate the Acceptable Use policy in Section 8

  • Misuse Pulse in a way that puts your employees, your guests, our system, or other customers at risk

  • Use Pulse in connection with illegal activity

Where possible, we will notify you before suspension and give you a reasonable chance to fix the issue.

What happens to your data on cancellation

  • Operational metadata is deleted from production within 30 days

  • Employee face templates are deleted within 30 days

  • Audit clips are deleted within 30 days

  • Backups containing your data are purged within 90 days

  • Billing records are retained for 7 years per tax and accounting law

You can export your operational metadata at any time before cancellation through your dashboard or by emailing support@advizia.ai.

7. Your data, our platform.

What's yours

You own everything Pulse generates about your venue: counts, alerts, dashboards, reports, attribution data. We're the processor. You're the controller. This is explicit in our Privacy Policy and reinforced here.

You also own all original CCTV footage. Pulse only borrows access to it for analysis. We do not claim any ownership interest in your video or your employees' images.

What's ours

We own:

  • The Pulse software, AI models, algorithms, and analysis pipeline

  • The Pulse dashboard, mobile app, and any related interface

  • The Advizia brand, name, logo, and marks

  • The proprietary auditing system used by our trained reviewers

  • Any aggregated, fully anonymized usage statistics across customers (e.g., "average bar venue had X pours per shift in Q1") — but only if no individual customer can be re-identified from the aggregate

We will never claim ownership of your data, your venue's events, or your employees' biometric data. Those belong to you (and, in the case of biometric data, to the employees themselves under applicable state law).

Your license to use Pulse

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Pulse for your own business purposes during the term of your subscription. You may not:

  • Sublicense, resell, rent, lease, or distribute Pulse to anyone else

  • Reverse-engineer, decompile, or attempt to extract the source code or model weights

  • Use Pulse to build a competing product

  • Use Pulse outside of the venues you've registered with us

8. Acceptable use.

You agree not to use Pulse to:

  • Violate any law in the jurisdiction where your venue operates

  • Collect or process biometric data from employees without complying with applicable state law (BIPA in Illinois, CUBI in Texas, biometric law in Washington and others) — including written notice and consent where required

  • Surveil, intimidate, retaliate against, or discriminate against employees

  • Identify, track, or build profiles of guests

  • Interfere with the security or integrity of Pulse or any other customer's account

  • Send unsolicited communications using Pulse data

  • Attempt to access any part of Pulse you are not authorized to access

If we believe in good faith that you are violating this section, we may suspend your account immediately and investigate. We will work with you to resolve the issue, but repeated or severe violations are grounds for termination without refund.

9. Operator responsibilities.

You are responsible for:

Your camera system

The hardware, the network, the cabling, the camera quality, the recording infrastructure, the angle and coverage, and the cost of maintaining all of it. Pulse can only analyze what your cameras can see.

Employee consent and notice

Before enrolling an employee in Pulse — particularly before submitting a photo that becomes their face template — you must comply with all applicable employee-monitoring and biometric privacy laws in your jurisdiction. In BIPA states (Illinois, Texas, Washington, and others), this means written notice, a written release, and disclosure of purpose and retention period.

We provide a deployment workbook with templates. You are responsible for using them or providing equivalent compliance.

Posting required signage

You are responsible for any signage required by law where you operate (e.g., notice that CCTV is in use, notice that biometric processing is taking place at the entrance to BIPA-state venues).

Accurate operator information

You agree to keep your account information accurate and up to date — billing details, contact email, venue addresses, employee roster.

Your own use of Pulse data

Pulse surfaces information about employee performance, table turns, and shift outcomes. How you use that information — coaching, scheduling, discipline, termination — is on you, governed by your employment policies and your state's labor law. We are not an HR system. We provide observations; you make decisions.

10. Service availability.

We work hard to keep Pulse running. We make commercially reasonable efforts to maintain uptime and respond to issues, but Pulse is provided "as-is" without guaranteed availability.

We do not commit to a specific uptime percentage at this stage. Premium tier customers receive priority support response (typically within 4 business hours during US business hours). Starter and Pro tier customers receive support typically within 1 business day.

We may take Pulse offline for scheduled maintenance with reasonable notice. Unscheduled outages caused by infrastructure failures, third-party subprocessors (AWS, Stripe), force majeure events, or your own camera/network issues are not service failures by us.

11. Disclaimers and limitations.

Service is provided "as-is"

Pulse is provided "as-is" and "as-available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and any warranty arising from course of dealing or usage of trade.

AI accuracy

Pulse uses AI models that are accurate at a venue level over time but are not perfect on any individual event. We use human auditors to validate and improve accuracy. You agree that:

  • No single Pulse event reading should be treated as the final word on what happened

  • You will not take adverse employment action against an employee based solely on a single Pulse event without independently reviewing the underlying clip

  • Pulse is a decision-support tool, not a decision-making system

Limitation of liability

To the maximum extent permitted by law, Advizia's total cumulative liability to you for any claim arising out of or related to these Terms or Pulse will not exceed the total amount you paid Advizia in the 12 months immediately preceding the event giving rise to the claim.

We will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill — even if we have been advised of the possibility of such damages.

Some jurisdictions don't allow these limitations. If a limitation is unenforceable where you are, it is enforced to the maximum extent the law allows.

Your indemnification of us

You agree to indemnify, defend, and hold Advizia harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of:

  • Your violation of these Terms or any applicable law

  • Your failure to obtain required employee consent or post required signage

  • Your use of Pulse data in employment decisions

  • Any claim by an employee, contractor, or third party against you that relates to your use of Pulse

This survives termination of your subscription.

12. Dispute resolution.

First step: talk to us

If something goes wrong, email steph@advizia.ai with the subject "Dispute" before doing anything else. We will work with you in good faith for 30 days to resolve it.

Second step: your choice — court or arbitration

If we can't resolve it informally, you can choose between:

  • Court. State or federal courts in Cook County, Illinois have exclusive jurisdiction. You and Advizia consent to personal jurisdiction in those courts.

  • Arbitration. Binding individual arbitration in Chicago, Illinois under the rules of the American Arbitration Association (AAA). Each side bears its own costs unless the arbitrator awards otherwise. Arbitration is confidential.

Class action waiver

Disputes are resolved individually. You agree not to bring or participate in any class action, collective action, or representative action against Advizia.

Opt-out

If you don't want to be bound by arbitration or the class-action waiver, you can opt out within 30 days of your account creation by emailing steph@advizia.ai with the subject "Arbitration opt-out." Opting out does not affect any other part of these Terms.

Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13. Changes to these Terms.

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of this page

  • Email all active operators at least 14 days before the change takes effect

  • Post a summary of what changed at the top of this page for at least 30 days

If you don't agree with a change, your remedy is to cancel before the change takes effect. Continued use of Pulse after the effective date means you accept the updated Terms.

14. Miscellaneous.

Entire agreement

These Terms, together with the Privacy Policy and any order form or addendum we sign with you, are the entire agreement between you and Advizia regarding Pulse. They supersede any prior agreement on the same subject.

Severability

If any part of these Terms is held unenforceable, the rest stays in effect. The unenforceable part is replaced with the closest enforceable equivalent that captures the original intent.

No waiver

If we don't enforce a provision of these Terms in one instance, that doesn't mean we've waived our right to enforce it later.

Assignment

You can't assign these Terms or transfer your account without our written consent. We can assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.

Independent contractors

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Advizia.

Force majeure

Neither party is liable for failures caused by events outside its reasonable control — natural disaster, war, terrorism, pandemic, government action, internet outage, AWS outage, or similar.

Survival

Sections 7 (Your Data, Our Platform), 8 (Acceptable Use), 11 (Disclaimers), 12 (Dispute Resolution), and 14 (Miscellaneous) survive termination of these Terms.

Notices

We send notices to the email address on your account. You send notices to steph@advizia.ai or by certified mail to Advizia LLC, 1018 Carolina Drive, West Chicago, IL 60185.
